VERONICA H. MONTAGNA

VERONICA Hempenstall Montagna is a partner in the Newark office of McCarter & English. She counsels U.S. and foreign public and private companies and their directors and executives on their compliance and reporting obligations under federal and state securities laws, as well as best practices and emerging trends in the area of corporate governance and general corporate matters.

Montagna frequently advises buyers and sellers in mergers and acquisitions and in the disposition of business assets, as well as lenders and borrowers in secured and unsecured loan transactions. She also represents venture capital companies and private equity funds in both debt and equity investments in portfolio companies.

Montagna advises banks and other financial institutions on such matters as mergers, acquisitions and affiliations; minority investments; public offerings of equity securities; and compliance and regulatory matters that affect their daily operations and strategic business decisions. She is knowledgeable about federal and state banking laws, regulations, and related interpretations.

Montagna is active in the firm’s Women’s Initiative and the National Association of Women Lawyers. She is a member of the firm’s Accounts Receivable Committee as well as the Pro Bono Committee, regularly participating in pro bono programs and providing free legal services to disadvantaged individuals, families, and the non-profit entities that serve them because she is convinced that it is the right thing for a lawyer to do and finds the work tremendously rewarding.

Chambers USA recognized Montagna in 2022 for her work in M&A. She is on the Board of Trustees of the New Jersey State Bar Association’s Banking Law Section and the Editorial Advisory Board of Law360’s Banking Section.

Montagna earned a BS, summa cum laude, from Kean University, and a JD with highest honors from Rutgers Law School.

A mother of three daughters, Montagna’s father William Hempenstall was born in Dublin in 1932. Her mother Josephine Hughes was from Gorey, Co. Wexford.
